Welcome to ICT Pay. The following Terms of Service (the "Terms") constitute a legally binding agreement between you and ICT Global Digital Banking Network ("ICT Pay," "we," "us," or the "Company"). By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

1. Service Overview

ICT Pay is a digital banking services platform incorporated in the State of Delaware, USA, providing global users with US bank account opening, international fund transfers (including ACH, Fedwire, and SWIFT), internal instant transfers, and Visa payment card services. We operate as a Money Services Business (MSB) registered with the Financial Crimes Enforcement Network (FinCEN) and hold applicable state Money Transmitter Licenses (MTL). Our services are designed to help users manage cross-border fund flows conveniently and securely. All user funds are held in For Benefit Of (FBO) accounts at FDIC-insured partner banks. These Terms apply to all ICT Pay services accessed through our website (icookpay.com), mobile applications, or any other channels.

2. Eligibility & Registration

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to register for and use ICT Pay services. During registration, you must provide truthful, accurate, and complete identity information, including but not limited to your legal name, valid government-issued identification documents, contact information, and residential address. You are responsible for maintaining the security of your account credentials, including your password and two-factor authentication devices, and bear full responsibility for all activities that occur under your account. If your personal information changes, you must update it within 30 days. We reserve the right to request additional verification documents at any time during the registration process or account usage period to satisfy Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance requirements.

3. Account Usage

Your ICT Pay account is intended solely for lawful business and personal use. You may not use your account for the following prohibited activities: money laundering or terrorist financing, fraudulent or fictitious transactions, violations of any applicable international sanctions laws (including OFAC sanctions), unauthorized gambling activities, illegal drug or contraband trafficking, or any other activities that violate applicable laws and regulations. We reserve the right to monitor account activity and may suspend or terminate accounts upon detection of suspicious activity. You shall bear full legal responsibility for any illegal or unauthorized transactions conducted through our platform. Repeated violations of usage rules may result in permanent account closure without refund of remaining funds.

4. Funds & Transactions

All funds deposited into your ICT Pay account are held in FBO accounts at our FDIC-insured partner banks, protected within applicable insurance limits. ACH transfers typically complete within 1-3 business days, Fedwire transfers typically complete same-day, and SWIFT international transfers typically require 1-5 business days. Actual processing times may vary depending on the receiving bank, destination country/region, and compliance review requirements. We are not liable for transaction failures or delays caused by incorrect recipient information, banking system outages, or force majeure events. Returned transactions may incur additional fees. We reserve the right to impose additional reviews and holding periods on large or unusual transactions.

5. Fees & Pricing

Use of ICT Pay services may incur fees, including but not limited to transfer fees, currency conversion fees, account maintenance fees, and card service fees. The current applicable fee schedule is available on the pricing page of our website. We reserve the right to modify our fee structure with 30 days' prior notice, delivered via email and/or in-app notification. Continued use of services after the effective date constitutes acceptance of the modified fees. Use of third-party services (such as ATM operators) may incur additional fees beyond our control. All fees are denominated in US dollars unless otherwise specified. Service fees once charged are generally non-refundable unless otherwise required by law.

6. Visa Card Terms

ICT Pay Visa payment cards are issued by our partner issuing institution and are governed by both Visa International rules and these Terms. Card issuance is subject to identity verification and credit assessment. You are responsible for safeguarding your physical card and virtual card information, and must notify us immediately upon discovering that your card has been lost, stolen, or subject to unauthorized use. Provided you report promptly (within 48 hours), your liability for unauthorized transactions is capped at $50. Reports made after 48 hours may result in greater liability on your part. We reserve the right to suspend or cancel cards for security reasons, account violations, or suspicious activity. Cards may not be used for any transaction categories prohibited by the Visa network or applicable law.

7. Security & Privacy

You are responsible for maintaining the security of your account, including protecting your login credentials and enabling two-factor authentication (2FA). We strongly recommend using a unique, strong password and changing it regularly. Never share your account credentials with anyone. ICT Pay will never request your password or complete security codes via email, text message, or phone call. Our collection and use of your personal information is detailed in our Privacy Policy. We are not liable for account compromises or fund losses resulting from your negligence (such as password disclosure or leaving devices unlocked). If you suspect unauthorized access to your account, please contact support@icookpay.com immediately.

8. Intellectual Property

All content within the ICT Pay website, applications, and services — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software — is the property of ICT Global Digital Banking Network or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use our services solely for the purposes intended under these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on any of our content or services without our written permission. Unauthorized use of our intellectual property may result in legal action.

9. Disclaimers

ICT Pay services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the services will be uninterrupted, error-free, secure, or virus-free. We are not responsible for the performance or availability of any third-party services, including partner banks, payment processors, and the Visa network. While we strive to ensure the accuracy of all transaction information, we are not liable for information discrepancies caused by system errors or inaccurate third-party data. Your use of our services is entirely at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ICT Pay, its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, regardless of cause and regardless of the theory of liability. In no event shall our total liability arising from or related to these Terms or the services exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Dispute Resolution

Any dispute, claim, or controversy arising from or relating to these Terms or our services (a "Dispute") shall first be resolved through good faith negotiation by contacting support@icookpay.com. If the Dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration. Arbitration shall be conducted in Wilmington, Delaware, under the Commercial Arbitration Rules of the American Arbitration Association (AAA). These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree to waive your right to participate in any class action lawsuit or class arbitration against ICT Pay. The arbitration award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

12. Termination & Modification

Either party may terminate this agreement at any time. You may terminate by contacting customer support or closing your account through the application. We may terminate or suspend your account with 30 days' prior notice; however, if there is a breach of these Terms, suspicious activity, or a legal requirement, we may terminate immediately. Upon account termination, your remaining funds will be returned to your designated external account after deduction of any outstanding fees. We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email at least 30 days before they take effect. Continued use of services constitutes acceptance of the modified Terms. Provisions of these Terms relating to intellectual property, disclaimers, limitation of liability, and dispute resolution shall survive termination.
